Board Meeting Feb 12, 2015

A regular Board meeting of the SE Portland Tool Library (SEPTL) was held 2/12/2015 at the Backstage McMenamins, 1604 SE 37th, Portland, Oregon.

The meeting convened at 7:11 PM, Chairman Sean Barnett presiding.

D&O insurance would cover cost of legal defense and court costs of Board members if someone were to sue the Board for an injury suffered while using SEPTL tools, falling on the premises, etc.

It has always been The Board’s understanding that SE Uplift’s liability insurance covers SEPTL. However Kelly recently learned that we ought to get a copy of the SE Uplift policy to confirm that SEPTL is a named insured on the certificate of insurance, and if not to ask that SEPTL be added as a named insured. If in fact SEPTL can NOT be covered under SE Uplift’s current liability policy, perhaps SE Uplift can add a rider to cover SEPTL, which we will pursue if needed.

Discussion of what SE Uplift does for SEPTL ensued: Provides 501(c)(3) non-profit status. It is our understanding that SE Uplift general liability insurance covers injuries caused by SEPTL tools. But for sure SEPTL is NOT covered by SE Uplift’s D&O insurance. Kelly and Glenn will contact SE Uplift to get details of our liability insurance coverage.

To get separate SEPTL D&O insurance would cost about $1,200 yearly.


had a Skype meeting and agreed to review tool purchases together, not buy any battery tools or paint sprayers, get rid of our sewer snakes due to health issues, and wait for resolution of the D&O Insurance issue before setting a tool budget.

Getting donations through Amazon Smile program — Bob applied and used while buying some new tools – we’ll see how much money gets to us via SE Uplift (Bob told SE Uplift about our participation in this program and also PGE’s Community Service grants)


We should change the Saturday Late tool threshold to 11 AM from noon to reduce burden on departing morning volunteers having to stay late dealing with late fines and tool returns.

Seems that Saturday shifts are often vacant til the last day — how can we make volunteering more fun and appealing?


Found 175 tools missing for a long time ; 150 disappeared in 2014 — what to do about them??


Seed Swap — March 29 3 to 4:30 PM in Fireside Room – reuse flyer from 2014 – edit and send to Michael to post on web site.

Volunteer Appreciation/Social Hour — Agreed to defer to future possible date

Seismic Workshop Spring TBD – ask other TLs and PDX City govt (Hilti?) and try to get grant or wholesale prices for special tools needed to lend from SEPTL.

Naturescaping or Tool Sharpening TBD??

Host another RepairPDX in Spring (maybe 1/4ly) March 20 6-8:30 pm
